This Partner Agreement (“Agreement”) is entered into between Quotivity, Inc. (“Quotivity”) and the undersigned partner (“Partner”).

1. Purpose
Partner may refer potential customers (“Referred Customers”) to Quotivity for Quotivity’s CPQ software and related services.
2. Referral Registration
To qualify for referral credit, a Referred Customer must be introduced to Quotivity by email or Slack message sent to a designated Quotivity partner contact before any meaningful sales engagement, quote, or proposal has begun.
3. Partner Tiers and Referral Fees
a. Partner Tiers
Partners may participate in the Quotivity Partner Program under one or more tiers, as defined by Quotivity from time to time, including but not limited to:

Strategic Partner
Tier qualifications, requirements, and benefits are defined in the Quotivity Partner Program Guide, which may be updated periodically at Quotivity’s sole discretion.
Quotivity reserves the sole right to assign, modify, upgrade, or downgrade Partner tier status.
Tier upgrades may apply retroactively to the specific deal that qualifies the Partner for the higher tier, as determined by the Partner Program Guide.
b. Fee Amount
Referral fees are based on the Partner’s tier at the time a Referred Customer is registered and closed:

Registered Partner: 10% of first-year recurring revenue

Certified Partner: 15% of first-year recurring revenue

Strategic Partner: 20% of first-year recurring revenue
Referral fees apply only to first-year recurring revenue from the original sale.
c. Payment Timing
Referral fees are paid quarterly, within 30 days after the end of the quarter in which payment is received from the customer.
d. Eligibility
A referral fee is earned only if:

The customer is first introduced via valid email or Slack registration

Quotivity executes a contract with the customer

Quotivity receives payment from the customer
Referral fees do not apply to customer expansions, upsells, seat increases, or additional purchases made after the initial sale.
Referral fees may apply to multi-year agreements as defined in the Partner Program Guide, but only with respect to first-year recurring revenue unless otherwise specified.
No fees are owed for unpaid, refunded, or canceled contracts.
4. Referral Attribution
Referral credit is assigned on a first‑come, first‑served basis based on the earliest valid referral registration for a specific customer.
5. Non‑Exclusivity
This Agreement is non‑exclusive. Both parties may engage with other partners or customers independently.
6. Independent Contractors
The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
7. Confidentiality
Partner agrees not to disclose Quotivity confidential information, including pricing, product plans, customer information, or non‑public business details, to any third party.
8. Brand Usage
Partner may use Quotivity trademarks or branding only with prior written approval and solely for approved partner marketing or sales activities.
9. Term and Termination
This Agreement remains in effect until terminated by either party with 30 days’ written notice via email.
Referral fees earned prior to termination will be paid according to this Agreement.
10. Notices
All notices under this Agreement may be delivered by email and will be deemed effective upon receipt.
11. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements regarding referrals.
Any amendments must be made in writing and agreed to by both parties.
12. Signatures
This Agreement may be executed electronically and in counterparts.
